These Terms & Conditions (“Terms”) govern your access to and use of the Cali WhatsApp bot and related services (collectively, “Cali” or the “Service”), provided by Pragmatican LLC, a Delaware limited liability company (“Pragmatican,” “we,” “us,” or “our”). By accessing or using Cali, you agree to these Terms. If you do not agree, do not use Cali.

Health Notice (Not Medical Advice): Cali provides general wellness information and calorie/nutrition estimates only. It is not a medical device and does not provide medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for medical questions. Do not use Cali for emergencies.

1) Eligibility

You must be 18+ and have the legal capacity to enter into these Terms.

2) Service Description

Cali is an AI-assisted WhatsApp bot that helps estimate calorie and nutrition information and provides general wellness guidance. Outputs are automatically generated and may be incomplete, outdated, or inaccurate. See Sections 10–11 and 14–15.

3) Accounts & Access

You must create an account to use Cali. You agree to keep your information accurate and secure and are responsible for all activity under your number/account.

4) Messaging Consent; Frequency; Opt-Out

By starting a WhatsApp conversation with Cali or providing your number, you consent to receive automated messages (service, transactional, and, where permitted, promotional). Frequency varies. Message and data rates may apply.

You agree not to:

We may suspend or terminate access for violations.

6) User Content & License

"User Content" includes data you submit (e.g., text, images, meal logs, feedback). You retain ownership. You grant Pragmatican a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, process, reproduce, analyze, and adapt your User Content to operate, maintain, and improve the Service (including model improvement, unless you opt out). We treat your User Content as private and do not display it publicly.

Model-training opt-out: Email team@pragmatican.com with subject "Model Training Opt-Out" from the number/email associated with your usage. Opt-out does not affect prior processing where permitted by law.

You represent you have all necessary rights and that your User Content is lawful and non-infringing.

7) Privacy

Your use is subject to our Privacy Policy at www.usecali.com/privacy. It explains data collection, use, retention, sharing, security, and your choices.

Do not submit highly sensitive data (e.g., government IDs, full payment card numbers, detailed medical records) in WhatsApp. We use reasonable safeguards but no system is 100% secure.

8) Third-Party Platforms & Links

Cali runs on WhatsApp and may use third-party providers (e.g., cloud, AI models, payments). Your use of those services is also governed by their terms.

We are not responsible for third-party services or links.

9) Intellectual Property & License to You

Except for User Content, the Service (including software, models, content, and outputs) is owned by Pragmatican or its licensors.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use Cali for personal, non-commercial wellness purposes. We reserve all other rights.

10) No Medical Advice; No Emergency Use

Cali provides educational information and estimates only. It is not a substitute for professional medical advice, diagnosis, or treatment; do not rely on it for health decisions.

Do not use Cali to seek emergency help.

11) Estimates & Accuracy

Nutrition outputs are estimates and may be imprecise or wrong. Ingredient composition and serving sizes vary; labels change; AI can produce unexpected or hallucinated results.

Use your judgment and consult professionals as needed. We make no guarantee of accuracy, timeliness, or reliability.

12) Beta/Experimental Features

Some features may be labeled alpha, beta, or experimental and may be changed or discontinued at any time. They are provided “as is.”

13) Premium Plan: Fees, Billing & Cancellation

We may offer free and premium tiers.

14) Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

15) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PRAGMATICAN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE EXTENT NOT EXCLUDED, OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNTS YOU PAID IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; in those cases, these limits apply to the maximum extent permitted.

16) Indemnification

You will defend, indemnify, and hold harmless Pragmatican and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your: (a) use of the Service; (b) User Content; (c) violation of these Terms; or (d) violation of laws or third-party rights.

17) Suspension & Termination

We may suspend or terminate access (with or without notice) if we believe you violated these Terms, pose a risk, or as required by law or platform partners.

You may stop using Cali at any time. Provisions that should survive termination (e.g., IP, disclaimers, limitations, payments, dispute resolution) survive.

18) Service Changes

We may modify or discontinue all or part of the Service at any time. Where required by law, we’ll provide notice.

19) Changes to These Terms

We may update these Terms from time to time. For material changes, we’ll provide at least 30 days’ advance notice (e.g., via WhatsApp message or other reasonable means). Your continued use after the effective date constitutes acceptance.

20) Copyright Complaints (DMCA/Similar)

If you believe content available via Cali infringes your copyright, email team@pragmatican.com with:

(1) identification of the copyrighted work; (2) identification of the material claimed to be infringing; (3) your contact information; (4) a good-faith statement; (5) a statement under penalty of perjury that the notice is accurate and you are authorized; and (6) your physical or electronic signature.

We may remove content and terminate repeat infringers.

21) Feedback

If you provide suggestions, ideas, or feedback, you grant us a perpetual, worldwide, irrevocable, sublicensable, royalty-free license to use them without restriction or compensation.

22) Export & Sanctions Compliance

You represent you are not subject to U.S. embargoes/sanctions and will comply with all applicable export and sanctions laws.

23) Children

Cali is not directed to children. Do not use Cali if you are under 18 or submit information about anyone under 18.

24) Governing Law; Venue (Delaware, USA)

These Terms and any dispute or claim (contract, tort, or otherwise) are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. Exclusive venue and jurisdiction (subject to Section 25 arbitration) are the state and federal courts in Kent County, Delaware, and you consent to personal jurisdiction there.

25) Binding Arbitration; Class Action Waiver (U.S. Consumers)

Please read this section carefully. It affects your rights.

(a) Agreement to Arbitrate. You and Pragmatican agree to resolve any disputes arising out of or relating to these Terms or the Service exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this section.

(b) Small Claims Court. Either party may bring an individual action in small claims court in Kent County, Delaware instead of arbitration.

(c) Class/Representative Actions Waiver. No class actions. You and Pragmatican may bring claims only in your/its individual capacity. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

(d) Location & Fees. The arbitration will take place by default in Kent County, Delaware or remotely (video/telephonic) if the arbitrator permits. AAA rules will govern fees; we will pay fees required by those rules for consumer disputes to the extent required by law.

(e) Relief. The arbitrator may award individual relief only.

(f) 30-Day Opt-Out. You may opt out of this arbitration agreement by emailing team@pragmatican.com with subject "Arbitration Opt-Out" and your name/phone number within 30 days of first accepting these Terms.

(g) Severability. If any part of this Section 25 is found unenforceable, the remainder shall remain in effect; if the class waiver is unenforceable, the entire arbitration clause is unenforceable.

26) Electronic Communications; Notices

You consent to receive notices and disclosures electronically, including via WhatsApp and email.

27) Assignment; Severability; Entire Agreement

You may not assign these Terms without our consent; we may assign them.

If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder remains in effect.

These Terms (and any policies referenced, including the Privacy Policy) are the entire agreement between you and us regarding Cali.
